DRAFT for legal review. This text describes how the marketplace works today. It has not been reviewed by a lawyer and is not yet binding.

1. Our relationship

By listing a website on the marketplace you become an independent supplier (contractor) of serp.ac ("we", "us"). Buyers purchase the content placement service from us; we sell it and are the merchant of record. You deliver the placement on our behalf, and we pay you the agreed earnings. You are not our employee, agent or partner, and you have no contract with the buyer.

2. Listings

  • You may only list websites you own or control, and you must prove it (meta tag, DNS record, file or Search Console). Every listing is reviewed by us and may be rejected or removed at any time.
  • You set your prices, accepted niches, surcharges, turnaround time, link limits and rules. Changes apply to new orders only.
  • Metrics we show (domain rank, referring domains, language, last update) come from third-party data and our own checks; you may not misrepresent your website.

3. Orders

  • Accept or reject each order within the acceptance period (currently 3 days); otherwise it is cancelled and the buyer refunded.
  • After accepting, publish within the turnaround time exactly as ordered: the agreed target URLs, anchor texts and link attribute, on an indexable page of the listed website, and submit the URL.
  • Do not contact buyers outside the marketplace to move orders or payments off the platform.

4. Earnings and commission

  • For each completed order you earn the order price minus our commission (currently 20%), shown on every order as "you earn".
  • Earnings become available after the order completes and an additional hold period (currently 3 days).
  • If a placement is removed or changed during the guarantee period and you don't restore it in time, the buyer is refunded and the corresponding earnings are deducted from your balance. A negative balance is set off against future earnings, and we may ask you to repay it.

5. Payouts

  • You can withdraw your available balance (minimum currently 50 USD) to a bank account through Wise or to a USDT/USDC wallet.
  • Transfer fees (Wise fees or crypto network fees) are borne by you and shown before you confirm.
  • Before the first payout we ask for your legal name, country, address and, in some countries, a tax ID. You are responsible for your own taxes and invoices where required.
  • Crypto payouts are final; check the address and network.

6. Content and law

You are responsible for your website complying with the law and the rules of the platforms you use. You may refuse content you consider unlawful. We may suspend listings or accounts in case of fraud, manipulation of checks, or repeated failed deliveries.

7. Liability and termination

Either party may end this relationship at any time; open orders must still be completed or refunded. Our liability is limited to the earnings due to you, except where the law does not allow such a limitation.
